Vendor Terms
These Vendor Terms & Conditions (“Terms”) govern the relationship between whatapi.cloud (“Platform”, “Company”, “We”, “Us”) and any business, reseller, agency, or service provider (“Vendor”, “You”) that uses, resells, integrates, or provides services through our WhatsApp Cloud API platform.
By registering or using the platform, you agree to these Terms.
1. Vendor Eligibility
To become a vendor on whatapi.cloud, you must:
Be a legally registered business or authorized entity
Comply with all applicable local, national, and international laws
Follow Meta and WhatsApp policies at all times
We reserve the right to approve, reject, suspend, or terminate vendors at our discretion.
2. Scope of Services
Vendors may:
Onboard client WhatsApp Business Accounts (WABAs)
Provide WhatsApp automation, messaging, and integration services
Use APIs, dashboards, and tools provided by whatapi.cloud
Vendors do not own the WhatsApp Cloud API and act only as service providers using Meta’s official infrastructure.
3. Compliance with WhatsApp & Meta Policies
Vendors must strictly comply with:
WhatsApp Business Messaging Policy
Meta Platform Policies
Opt-in and opt-out requirements
🚫 Vendors must NOT:
Send spam or unsolicited messages
Use scraped or purchased phone number lists
Bypass template approval or session rules
Any violation may result in immediate suspension or termination.
4. Vendor Responsibilities
Vendors are fully responsible for:
Client onboarding and verification
Obtaining valid user opt-in before messaging
Message content created or sent on behalf of clients
Managing client usage, campaigns, and automation
whatapi.cloud is not responsible for vendor or client misuse.
5. Data Handling & Privacy
Vendors must handle client and user data securely
Data must not be shared, sold, or misused
Vendors must comply with data protection laws (GDPR, local regulations)
whatapi.cloud may process data only to provide the platform and ensure compliance.
6. Billing & Payments
Vendors are responsible for all usage charges incurred by their clients
Pricing is based on WhatsApp Cloud API usage and platform plans
Late or failed payments may result in service suspension
All fees are non-refundable unless explicitly stated.
7. Account Suspension & Termination
We reserve the right to suspend or terminate vendor access if:
Spam complaints or policy violations occur
Meta or WhatsApp flags the associated WABA
Vendor causes reputational, legal, or compliance risk
Termination may be immediate and without prior notice in severe cases.
8. Limitation of Liability
whatapi.cloud shall not be liable for:
Vendor or client message content
Business losses, downtime, or revenue impact
WhatsApp or Meta account restrictions imposed due to vendor actions
The platform is provided on an “as-is” basis.
9. Indemnification
Vendors agree to indemnify and hold harmless whatapi.cloud from any claims, damages, penalties, or losses arising from:
Vendor misuse
Client violations
Legal or regulatory breaches
10. Modifications to Terms
We may update these Vendor Terms at any time.
Continued use of the platform constitutes acceptance of updated terms.
11. Governing Law
These Terms shall be governed by the laws applicable to the Company’s registered jurisdiction.
